Welcome to Anspire (https://opentoken.anspire.ai, the "Website"), an AI model open platform operated by Anchnet (International) Technology Co., Limited ("we", "us" or "our"). These Terms & Conditions (the "Terms") govern your access to and use of the Website and all related products and services, including API access to third-party and proprietary AI models, prepaid usage credits, and developer tools (collectively, the "Services").

By registering an account, purchasing credits, or otherwise using the Services, you confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. The Services

Anspire provides a unified gateway through which developers and businesses can access mainstream AI models (such as GPT, Claude, Gemini, DeepSeek and Qwen series) via API. We publish model availability, context limits and unit prices on our pricing page. Model capabilities and availability may change from time to time as upstream providers update their offerings.

2. Account Registration and Security

  • You must provide accurate, complete registration information and keep it up to date.
  • You are responsible for safeguarding your account credentials and API keys. All activities performed with your API keys are deemed to be performed by you.
  • You must notify us immediately at server@anspire.ai if you suspect any unauthorized use of your account.
  • You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services.

3. Fees, Payment and Billing

  • The Services are billed on a prepaid, pay-as-you-go basis. You purchase usage credits through a one-time payment; credits are then deducted according to the published per-token or per-call unit prices of each model.
  • All prices are displayed in the currency indicated at checkout (USD by default). The final amount payable is shown clearly before you confirm payment.
  • We do not enroll you in any subscription or automatic recurring billing. Each purchase is a separate one-time transaction that you actively initiate and confirm.
  • After a successful payment we will issue an electronic receipt/confirmation to your registered email address, and your purchase history is available in your account console.
  • Refunds are handled in accordance with our Refund Policy.

4. API Usage and Service Limits

  • API calls are subject to rate limits (including requests-per-minute and tokens-per-minute quotas) that vary by model and account tier. Current limits are stated in our developer documentation.
  • We may throttle, queue or temporarily suspend traffic that exceeds the applicable limits or that threatens the stability or security of the platform.
  • The Services are provided on a commercially reasonable-effort basis. Scheduled maintenance and upstream model provider outages may affect availability.

5. Acceptable Use and Prohibited Conduct

You agree NOT to use the Services to:

  • violate any applicable law or regulation, or infringe the rights of any third party;
  • generate, store or distribute content that is unlawful, defamatory, obscene, harassing, hateful, or that promotes violence or discrimination;
  • create or disseminate malware, engage in phishing, fraud, spam, or any deceptive or misleading activity;
  • develop weapons, conduct surveillance in violation of law, or make automated decisions that produce legal effects on individuals without required human oversight;
  • attempt to reverse engineer, probe or circumvent security measures, rate limits or usage restrictions of the platform or the underlying models;
  • resell or sublicense raw API access without our prior written consent; or
  • misrepresent AI-generated output as human-authored where such disclosure is required by law.

We may suspend or terminate accounts that violate this Section, and we reserve the right to report unlawful activities to competent authorities.

6. AI-Generated Content and User Responsibility

  • Output produced by AI models is generated by machine-learning systems and may contain inaccuracies, omissions or biased information. It does not represent our views and is not professional advice (including legal, medical or financial advice).
  • You are solely responsible for reviewing, verifying and, where appropriate, editing AI output before relying on it or publishing it, and for how you and your end users use such output.
  • You are responsible for ensuring that data you submit to the Services (prompts, files, embeddings inputs, etc.) does not violate any law or third-party right, including privacy and intellectual-property rights.
  • To the extent permitted by applicable law and upstream model licenses, we do not claim ownership of the output you lawfully generate through the Services.

7. Intellectual Property

The Website, the platform software, and all associated trademarks, logos and content (excluding user content and third-party model providers' marks) are owned by or licensed to Anchnet (International) Technology Co., Limited. Please refer to our Intellectual Property Rights policy for details.

8. Privacy

Our collection and use of personal data is described in the Privacy Policy, which forms part of these Terms.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, data or goodwill arising out of or relating to the Services. Our aggregate liability for any claim arising under these Terms shall not exceed the total amount you paid to us for the Services during the three (3) months preceding the event giving rise to the claim.

11. Termination

You may stop using the Services and close your account at any time by contacting us. We may suspend or terminate your access if you materially breach these Terms. Upon account closure, any remaining credit balance will be handled in accordance with the Refund Policy.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced on the Website or by email at least seven (7) days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

13. Governing Law

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of HK.
